Terms & Conditions
Version 1.0
1. Quote, Scope, and Order of Precedence
Digital Dreams Come True Inc. ("Contractor") will provide the equipment and services described in the quotation, proposal, Statement of Work, change order, or project agreement accepted by the Client. If there is a conflict, the project-specific quote or signed change order controls only as to scope, quantities, price, and expressly stated commercial terms; these Terms and Conditions control all other matters unless Digital Dreams expressly agrees otherwise in writing. Terms contained in a Client purchase order, portal, vendor form, or other Client document do not modify this agreement unless specifically accepted in writing by an authorized Digital Dreams representative.
2. Client Responsibilities
Client will provide safe and timely access to the work areas, suitable electrical power, internet/network access where required, accurate site information, and a designated project contact. Client is responsible for obtaining property-owner approvals and any permits, inspections, engineering, HOA approvals, or governmental authorizations unless the accepted quote expressly assigns them to Digital Dreams.
3. Existing Infrastructure and Third-Party Systems
Digital Dreams is not responsible for the condition, performance, compatibility, reliability, configuration, licensing, cybersecurity, or failure of existing client-owned equipment, cabling, networks, internet service, software, cloud services, utilities, or third-party systems unless expressly included in the accepted scope.
4. Scheduling, Site Access, Cancellations, and Delays
Scheduling is subject to material availability, site readiness, and mutually coordinated access. If technicians cannot perform scheduled work because of Client actions or omissions, including denied access, unsafe conditions, incomplete prerequisite work, or cancellation with less than 24 hours' notice, Digital Dreams may charge for mobilization, travel, standby time, and labor at its then-current rates. Client-caused delays exceeding 30 consecutive days may result in suspension, invoicing for work completed and costs incurred, revised scheduling, and reasonable price adjustments.
5. Change Orders and Unforeseen Conditions
Work outside the accepted scope is additional work and requires written approval before performance, except emergency work reasonably necessary to protect persons or property. Written approval may include an executed change order or other written or electronic authorization from an authorized Client representative.
6. Materials, Purchasing, and Cancellation
Once the Client approves the quote and any required payment condition is satisfied, Digital Dreams may purchase or allocate materials for the project. Client is responsible for manufacturer, distributor, freight, restocking, cancellation, storage, return, and other nonrecoverable charges resulting from Client-directed cancellation, reduction, delay, or change after material commitment. Special-order, custom, configured, licensed, or non-returnable items are non-cancellable and non-refundable to the extent Digital Dreams cannot cancel or return them without cost.
7. Ownership and Risk of Loss
Risk of loss or damage to equipment passes to Client upon delivery to the project site or Client-designated location, except to the extent caused by Digital Dreams. Title to equipment supplied by Digital Dreams transfers upon full payment. Digital Dreams retains all rights and remedies available under applicable law for unpaid equipment, materials, and services.
8. Payment Terms and Administrative Requirements
Unless the accepted quote states otherwise, materials are invoiced when ordered and due Net 15 from invoice date; labor is invoiced upon completion of the applicable field work, milestone, service call, or job scope and due Net 30 from invoice date. Materials and labor may be invoiced separately. Client purchase-order, portal, vendor-onboarding, internal approval, closeout, or payment-processing procedures do not extend the agreed payment due date unless Digital Dreams agrees in writing. Late amounts may accrue interest at 1.5% per month (18% annually) or the maximum lawful rate, whichever is less. Client is responsible for reasonable collection costs and, where recoverable by law or agreement, attorneys' fees and costs. Credit-card payments are subject to the disclosed processing fee.
9. Quote Validity, Taxes, Freight, Tariffs, and Price Changes
Quotes are valid for 30 days unless otherwise stated. Unless specifically included, taxes, duties, permit fees, freight, expedited shipping, lift/equipment rental, tariffs, and similar pass-through charges may be added as applicable. Digital Dreams may adjust pricing for supplier increases, tariffs, taxes, freight increases, or other material cost changes occurring after quote expiration or caused by Client delay.
10. Warranty
Digital Dreams provides a 12-month workmanship warranty for installation labor and passes through applicable manufacturer warranties on hardware. Warranty does not cover misuse, tampering, vandalism, accident, natural disaster, power or internet issues, unauthorized repairs or modifications, third-party changes, consumables, normal wear, or conditions outside the original scope. Warranty labor is limited to correction of covered workmanship defects and does not include reconfiguration, software changes, retraining, relocation, or unrelated service calls.
11. Security, Surveillance, Network, and Cybersecurity Limitations
Security, access-control, surveillance, intercom, networking, cellular, alarm, and communication systems reduce risk but do not eliminate it. Digital Dreams does not warrant that any system will prevent, detect, record, transmit, or report every event or protect against theft, intrusion, injury, cyberattack, hacking, malware, ransomware, data loss, internet outage, cloud outage, or unauthorized access. Client is responsible for system policies, user administration, credentials, retention settings, monitoring practices, and legally required notices and consents.
12. Privacy and Data Handling
Client is responsible for compliance with federal, state, and local laws governing video, audio, access-control data, monitoring, privacy, retention, and use of surveillance or recorded information. Unless otherwise agreed in writing, Digital Dreams is not the Client's records custodian and does not control Client retention or disclosure obligations.
13. Limitation of Liability
To the maximum extent permitted by law, Digital Dreams is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business, lost data, business interruption, or loss arising from failure of a security or communications system to prevent or detect an event. Digital Dreams' aggregate liability arising from a specific project will not exceed the amount paid by Client to Digital Dreams for that project, except to the extent a different limitation is required by applicable law.
14. Documentation and Photographs
Digital Dreams may photograph work areas and installed equipment before, during, and after work for documentation, quality assurance, closeout, warranty administration, and internal business purposes. Digital Dreams will not intentionally use such photographs to disclose Client confidential information.
15. Acceptance of Work
Client will inspect completed work and notify Digital Dreams in writing of claimed deficiencies within 7 calendar days after completion of the applicable scope. If Client does not provide written notice within that period, the work will be deemed accepted. A punch-list item that does not materially prevent use of the system does not postpone invoicing or payment of undisputed amounts.
16. Force Majeure
Digital Dreams is not liable for delay or nonperformance caused by events beyond its reasonable control, including severe weather, natural disaster, labor disruption, utility or carrier failure, supply-chain interruption, manufacturer delay, government action, epidemic or pandemic, war, terrorism, or other force-majeure event. Schedule will be reasonably extended for the resulting delay.
17. Suspension and Termination
Digital Dreams may suspend purchasing, scheduling, or work for overdue invoices, unsafe conditions, Client breach, or Client failure to provide required access or information. Either party may terminate for a material breach not cured within 10 business days after written notice. Upon termination, Client remains responsible for work performed, committed materials, cancellation/restocking charges, and other nonrecoverable costs incurred through termination.
18. California Remedies
Digital Dreams reserves all payment and collection rights available under applicable California law, including mechanics lien, stop-notice, bond-claim, and other statutory rights where applicable.
19. Governing Law and Dispute Resolution
California law governs this agreement. The parties will first attempt in good faith to resolve disputes through management-level discussions. If unresolved, the dispute will be submitted to mediation in Placer County, California. If mediation is unsuccessful, the dispute will be resolved by binding arbitration in California, except that Digital Dreams may pursue provisional, lien, collection, or other remedies that applicable law permits outside arbitration.
20. Attorneys Fees
The prevailing party in an action or proceeding arising from this agreement is entitled to recover reasonable attorneys' fees, costs, and expenses to the extent permitted by law.
21. Entire Agreement; Master Services Agreement; Electronic Signatures
If Digital Dreams and Client have an executed Master Services Agreement ("MSA"), this document, the associated quote, and any approved change orders are governed by and incorporated into that MSA. In the event of a conflict, the applicable quote or signed change order controls as to project-specific scope, quantities, pricing, exclusions, assumptions, schedule, and expressly stated commercial terms; the MSA controls all other legal terms. If no MSA exists between the parties, the associated quote, these Terms and Conditions, and any signed change orders constitute the entire agreement for the project. Amendments must be in writing and accepted by authorized representatives of both parties. Client acceptance of the associated quote or Client Approval & Project Terms incorporates these Terms and Conditions by reference. Electronic signatures and counterparts are effective as originals.
